This Agreement sets forth the terms and conditions that apply to your access and use of Verification Technologies services available through the Verification Technologies website (“www.verificationtechnologies.ai”), which is owned and operated by Verification Technologies, LLC (“We” or “Us”). By using Verification Technologies you agree to be bound by the terms and conditions of this Agreement and our other policies, including our general Terms of Service, Privacy Policy, and Acceptable Use Policy, as they may be amended from time to time in the future (see "Modifications" below).

1. Service Description and Restrictions

‍Verification Technologies Service is a Voice-over Internet Protocol telecommunications service that includes inbound and outbound voice media routing, queuing, and distribution, and related services, applications, and features that enables verified customers to place telephone calls using dedicated numbers purchased from Plura AI or their own numbers, and to receive and route inbound calls placed to such numbers.

Use of Verification Technologies is subject to these terms of Service, including our general Terms of Service, Acceptable Use Policy, and Privacy Policy. Customer is fully responsible and liable for all use of all services available through Verification Technologies, and any and all fees and charges that are incurred as a result of such use. Notwithstanding anything to the contrary stated in the Agreement, the Verification Technologies services shall be subject to the following restrictions:

1. Direct and Verified Customers Only: Verification Technologies is only available to customers who have successfully completed the verification process described in Section 3 of this Agreement. You may only use Verification Technologies for your internal business needs, and may not resell, provide, offer, or otherwise grant access to any Verification Technologies service to any third party, including without limitation any customers, associates, affiliates, or business partners, regardless of whether such parties are charged for any such use. For avoidance of doubt, any attempt to provide Verification Technologies services to any third party, or any use of Verification Technologies services for any purpose apart from those described by you in connection with the verification process, will be considered a violation of this Agreement and may result in the immediate termination of your account.

2. Account Security and Notices: You are solely responsible for maintaining the confidentiality of your account credentials (including usernames and passwords) which grant access to VerifiedVoice services.  By providing us with your e-mail address, you agree to receive all required notices electronically, to that e-mail address. It is your responsibility to update or change your email address if it ever changes. If you become aware of any unauthorized use of your VerifiedVoice account, you agree to notify us immediately by contacting your account manager or by emailing us at operations@VerificationTechnologies.ai.

3. Number Assignment and Availability:  Verification Technologies maintains an inventory of phone numbers that customers may select to use with Verification Technologies. Note that not all phone numbers listed are available for assignment.  In the event a chosen number is unavailable, you will be asked to select a different number to use with your account. All new number assignments are provisional until confirmed.  You should not publicize, list, or communicate any number assigned to your Account unless and until you have received confirmation that the number is active and functioning as desired.

4. Number Porting: Verification Technologies does not currently support in-bound port requests, but we will comply with any valid outbound porting request.  To have a number currently assigned to your account be ported to another service provider, please follow the instructions specified by that provider and provide all information requested by us and the other provider. Note that the porting of numbers into or out of an account requires customers to provide specific and detailed information to Verification Technologies and/or other service providers, and to follow certain procedures to comply with law and industry standards. Therefore, the completion of any number port request may depend on factors outside of our control.

5. NO 911 SERVICE. 911 / EMERGENCY CALLS OR MESSAGES MAY NOT BE PLACED OR SENT THROUGH THE TELCOM SERVICES, AND NO 911 CALLING OR SMS OR OTHER MESSAGING SERVICE IS OFFERED OR PROVIDED WITH THE TELCOM SERVICES. YOU MUST MAKE AVAILABLE ALTERNATIVE ARRANGEMENTS TO PLACE 911 CALLS. You hereby represent, warrant, and covenant that (1) anyone who might use Verification Technologies or be present at the physical location where any the service might be used is fully informed and aware that they will not be able to place calls or send messages to 911 or other emergency response services through Verification Technologies; and (2) you shall provide an alternate method by which to place 911 emergency calls.

6. Delivery Restrictions. Provided you have successfully completed the verification process, Verification Technologies calls placed using numbers obtained through Verification Technologies will be signed with an “A” attestation, which increases the likelihood that they will be successfully delivered.  All other calls will be signed with the appropriate attestation given the data provided. Verification Technologies calls will be processed and delivered by Verification TechnologiesI to the applicable network; however, we are not responsible for the final delivery of any communication initiated through Verification Technologies, as this is out of our control and is the responsibility of the terminating communications carrier.

2. Billing and Payment‍

Calls placed and received using Verification Technologies are billed at the applicable rates in six-second increments.   Numbers (including toll-free numbers) are available for verified customers for an initial purchase fee and a recurring monthly rate. Usage (including incremental telecommunications usage and assigned numbers) is calculated on a monthly basis and is automatically billed to the credit card on file on the first day of the month following that in which usage fees are incurred.

For the purposes of this Agreement, “usage” means any charges incurred in connection with the use of any Verification Technologies services under your account, including, without limitation, local, long-distance, and toll-free minutes, charges, and any phone numbers (toll-free or otherwise) and other products used under your account during the applicable term. You are responsible for obtaining and maintaining all computer hardware, software and communications equipment needed to access VerifiedVoice, and for paying all access charges (e.g. ISP, telecommunications) incurred while using the services.

1. Reviewing Your Account: To review the products and services you are using and the rates applicable to each one, log in to Verification Technologies and click on the "Billing" tab on the main dashboard to see your billing date and products you will be billed for. We may authorize your selected payment method in anticipation of service-related charges through various methods, including authorizing it up to approximately one month of service as soon as you register.

2. Payment Methods: To use Verification Technologies services, you must provide one or more payment methods. You can update your payment methods by accessing the billing tab on your account dashboard. We may also update your payment methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable payment method.  In the event your primary payment method is declined or is no longer available, you authorize us to charge any other payment method added to your account. You are fully responsible for any payments due that we are unable to collect.  If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not appropriately cancel your account, we may suspend your access to the service until we have successfully charged a valid payment method.

3. Price or Plan Changes: We reserve the right to adjust pricing for Verification Technologies, or to alter the services included in our subscription plans in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms of Service, any price changes or changes to your subscription plan will take effect following notice to you.

4. Refund Policy: Payments are nonrefundable and there are no refunds or credits for partially used periods or unused minutes, nor do we offer any refunds of subscription costs once they have been successfully charged.  Notwithstanding the foregoing, in certain circumstances we may elect to provide a refund, credit, discount, or other consideration to some or all of our members depending upon the circumstances. The amount and form of such consideration, and the decision to provide them, are at our sole and absolute discretion. The provision of a refund or other form of consideration in one instance does not entitle you to the same consideration in the future for similar instances, nor does it obligate us to provide consideration in the future, under any circumstance.

5. Cancellations: Verification Technologies services are offered on a rolling month-to-month basis and may be canceled at any time prior to the next billing date by following the cancellation instructions on the user dashboard, or by contacting your account manager or billing@VerificationTechnologies.ai. It is your responsibility to cancel your account in advance to avoid being billed for the next billing cycle of service. Following any cancellation, all Plura AI phone numbers assigned to your account will be released to other customers, but you may still access the user dashboard if you are using other Plura AI services. We do not provide refunds or credits for any partial-month membership periods or unused minutes.

3. Verification Process‍

To use any Verification Technologies service, you must first complete a service application and undergo a verification process conducted by our legal department. You understand and agree that all information requested in connection with this process must be provided and be complete and accurate in all respects. Any information found to be inaccurate or incomplete will delay the process and may result in your being permanently unable to use the service. Note that you are required to inform us of any material changes to the information included in your application or requested by us during the process, including, without limitation, changes to your company name, ownership structure, or other matters referenced in the application. All information provided will be maintained in confidence in accordance with our privacy policy.

4. Service Access Policies

‍All Verification Technologies services must be used strictly in accordance with applicable statutes, rules, and regulations, including, without limitation, the Telephone Consumer Protection Act of 1991 (TCPA) and its implementing regulations (including, without limitation, rules promulgated by the Federal Trade Commission and the Federal Communications Commission, (including without limitation, the Telemarketing Sales Rule and the National Do-Not-Call Registry) or applicable state laws, which are referred to collectively as “Applicable Laws.”

You agree to familiarize yourself with and abide by all Applicable Laws.  You further acknowledge and agree that you are solely responsible for all acts or omissions that occur under your account, including without limitation, all calls sent using Verification Technologies and the content thereof.

2. You represent and warrant that the owners of the phone numbers to whom Verification Technologies calls are directed, have consented or otherwise opted-in to receive such calls from you, if and to the extent such consent is required under Applicable Laws.  You further agree that any individual requesting "Do-Not-Call" ("DNC") status shall immediately be placed on your DNC accounts list and removed from your list of approved contacts used with VerifiedVoice.

3. Verification Technologies may offer information regarding Applicable Laws from time to time on its website or in presentations.  Any such information may be incomplete or inaccurate and/or may not apply to you, is strictly provided as a courtesy, and is not intended to satisfy your obligation to familiarize yourself with and abide by Applicable Laws. Verification Technologies representatives will not interpret or explain any Applicable Laws, nor can they (or will they) offer legal advice or guidance on the same.

4. All calling campaigns must be conducted responsibly and directed in a manner that complies with call recipients’ local calling time and day restrictions.
   ‍
5. You are solely responsible for obtaining consumer contact data in a manner that complies with Applicable Laws, and for obtaining the consent of call recipients prior to recording any calls placed using Verification Technologies in accordance with Applicable Laws.
   ‍
6. You are solely responsible for maintaining Call Data Records (CDRs) and related information, including, without limitation, consumer consent records and call recordings, for as long as may be required under Applicable Laws.
   ‍
7. Verification Technologies will not be liable for any misuse of VerifiedVoice services by you or anyone accessing your account, with or without your authorization.
   ‍
8. You accept that Verification Technologies services are provided for professional use only, and you agree that your use of the same shall not include:
   ‍
9. Placing unsolicited or prerecorded marketing calls in violation of Applicable Laws (i.e. spam);
   ‍
10. Placing any calls to life-line services, such as hospitals, fire, police, 911 or utility-related telephone numbers;
11. Placing calls that engage two or more lines of a multi-line business;
    ‍
12. Harvesting, or otherwise collecting information about others, without their consent;
    ‍
13. Misleading others as to your identity as the caller by creating a false identity, impersonating the identity of someone/something else or by providing contact details that do not belong to you;
    ‍
14. Transmitting, associating or publishing any unlawful, racist, harassing, libelous, abusive, threatening, demeaning, immoral, harmful, vulgar, obscene, pornographic or otherwise objectionable material of any kind;
    ‍
15. Transmitting any material that may infringe upon the intellectual property rights of third parties including trademarks, copyrights or other rights of publicity;
    ‍
16. Transmitting any material that contains viruses, trojan horses, worms, time bombs, cancel-bots or any other harmful/deleterious programs;
    ‍
17. Interfering with, or disrupting, networks connected to the services or violating the regulations, policies or procedures of such networks;
    ‍
18. Attempting to gain unauthorized access to the services, other accounts, computer systems or networks connected to the services, through password mining or any other means;
    ‍
19. Interfering with another's use and enjoyment of the Services or Plura AI; or
    ‍
20. Engaging in any other activity that we determine could subject our company to criminal liability or civil penalty/judgment, as determined by us in our sole discretion.

5. Indemnification

‍You hereby represent and warrant that you have all requisite right, power, and authority to agree to these Terms and perform your obligations hereunder, and nothing contained in these Terms or in the performance of such obligations will place you in breach of any other contract or obligation. You further warrant and represent that you are and shall at all times remain in full compliance with all applicable statutes, rules and regulations that apply to you use of Verification Technologies services, including without limitation the Telephone Consumer Protection Act, the Telemarketing Sales Rule, the CAN-SPAM Act (Controlling the Assault of Non-Solicited Pornography and Marketing Act) of 2003, and all other laws and regulations concerning privacy, telemarketing, and Internet marketing.

You agree to indemnify and hold harmless Verification Technologies and its affiliates and each of their respective officers, directors, shareholders, employees, agents, contractors, representatives, content providers and service providers, from and against any and all losses, claims, obligations, liabilities, damages, settlements, costs and expenses (including, but not limited to, consequential damages, incidental damages, special damages, disbursements and attorneys' fees, including attorneys' fees incurred from counsel selected by us in our sole discretion) arising from or relating to any actual or threatened claim, suit, action, proceeding, governmental investigation or enforcement action based upon or arising out of: (i) your breach of the above warranties; or (ii) any use by you, or an account or computer owned by you, of Verification Technologies or the Verification Technologies services. You agree to cooperate as fully as reasonably required in the defense of any claim, suit, action, proceeding, governmental investigation or enforcement action, but we reserve the right, at your expense, to assume the exclusive defense and control of any matter in which you are a named party and that is otherwise subject to indemnification by you. You acknowledge and agree to be held liable for any and all damages caused to Verification Technologies by you as a direct result of a violation of local, state, national or international laws and regulations.

6. Disclaimer of Representations and Warranties‍

THE VERIFICATION TECHNOLOGIES SERVICE AND ALL SERVICES AND PRODUCTS ARE PROVIDED TO YOU ON AN "AS-IS" AND "AS AVAILABLE" BASIS. Plura AI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE CONTENT OR OPERATION OF THE VERIFICATION TECHNOLOGIES OR ANY OTHER Plura AI SERVICE. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. VERIFICATION TECHNOLOGIES MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE CONTENT ON THE VERIFICATIONTECHNOLOGIES.COM WEBSITE OR OF THE SERVICE (WHETHER OR NOT SPONSORED), AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Plura AI MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE THAT THE CONTENT THAT MAY BE AVAILABLE THROUGH THE SERVICE IS FREE OF INFECTION FROM ANY VIRUSES OR OTHER CODE OR COMPUTER PROGRAMMING ROUTINES THAT CONTAIN CONTAMINATING OR DESTRUCTIVE PROPERTIES OR THAT ARE INTENDED TO DAMAGE, SURREPTITOUSLY INTERCEPT OR EXPROPRIATE ANY SYSTEM, DATA OR PERSONAL INFORMATION.

7. Limitation of Liability

‍VERIFICATION TECHNOLOGIES SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO THE VERIFICATION TECHNOLOGIES SERVICE OR ANY OTHER SERVICE AVAILABLE ON THE Plura AI.COM WEBSITE, YOUR USE OF THE SERVICE OR THIS AGREEMENT, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, OUR LIABILITY TO YOU FOR ANY CAUSE WHATEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO $500.00 (FIVE HUNDRED UNITED STATES DOLLARS).

8. Our Termination Rights

‍Verification Technologies may, at any time terminate its agreement to provide Verification Technologies or any other Verification Technologies service to you:  (i) if you have breached any provision of this Agreement (or have acted in a manner which clearly shows that you do not intend to, or are unable to comply with the provisions of this Agreement); (ii) if we become aware of any information that leads us to reasonably conclude that you are using the services in a manner that violates this Agreement or Applicable laws; or (iii) if we in our sole discretion believe we are required to do so by law.

9. Modifications

‍We may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the verificationtechnologies.ai  website. In addition, the Agreement will always indicate the date it was last revised. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted.
